This Promote Plan Supplement (“Supplement”) forms part of the Vendor or Wellnessta Business Partner Account Terms of Use (Vendor Terms), the Website Terms and Conditions, and the Privacy & Cookies Policy (together, the “Master Terms”). Capitalized terms not defined here have the meanings given in the Master Terms. By purchasing or enabling Promote, you agree to this Supplement.
1) Scope & Features
1.1 Deals-only access. Promote unlocks the Offers/Deals (Coupon Management) feature for the selected outlet(s). All other software modules remain those of the Starter plan.
1.2 No software bundle. Promote does not include POS, inventory, payroll, analytics, multi-user/multi-outlet controls, or any Growth/Pro/Enterprise functionality unless purchased separately.
1.3 Per-outlet. Promote is purchased per outlet and applies only to the number of outlet(s) selected at checkout.
2) Fees, Taxes & Billing
2.1 Price. ₹ 7,000 per outlet per year, payable upfront; prices are exclusive of applicable taxes (including 18% GST).
2.2 Non-refundable. Fees are non-refundable and non-creditable, including for early cancellation or partial use.
2.3 No set-off on upgrade. If you later buy Growth or Pro, amounts paid for Promote are not adjusted, credited, or transferred.
3) Term, Auto-Renewal & Cancellation
3.1 Term. Each Promote subscription runs for 12 months from activation.
3.2 Auto-renewal. By default, Promote auto-renews annually for successive 12-month terms at then-current rates.
3.3 How to cancel renewal. You may disable auto-renew in the Vendor Dashboard at any time; to avoid renewal charges, do so at least 7 days before the current term ends.
3.4 No proration. Cancellation stops the next renewal; it does not refund or prorate the current term.
4) Visibility, Ranking & Performance
4.1 No guarantees. Deals can improve visibility and conversion, but Wellnessta does not guarantee impressions, ranking, traffic, or bookings.
4.2 Algorithm changes. Wellnessta may modify discovery, ranking, or display algorithms at any time to protect user experience and platform integrity.
5) Content, Compliance & Moderation
5.1 Your responsibility. You are solely responsible for the accuracy, legality, and availability of all offers (e.g., eligibility, blackout dates, caps, participating outlets).
5.2 Pricing claims. Where you reference discounts (e.g., “% off”, strikethrough pricing), you warrant the truthfulness and verifiability of any MRP/ base price and will provide evidence on request.
5.3 Prohibited practices. No bait pricing, misleading claims, unlawful conditional discounts, or offers you cannot reasonably fulfill.
5.4 Rights to moderate. Wellnessta may review, edit, suspend, or remove any deal that is inaccurate, misleading, non-compliant, abusive, or risky—without refund.
5.5 Laws & codes. You will comply with all applicable consumer protection, advertising and pricing laws, and relevant self-regulatory codes (e.g., ASCI).
6) Commission & Bookings
6.1 Commission policy. Your outlet remains on Starter for commission purposes; the then-current Starter marketplace commission applies to bookings generated via the Wellnessta marketplace.
6.2 Your channels. Bookings generated via your own channels (phone, walk-ins, your website/social) remain subject to the 0% marketplace commission policy stated in the Master Terms.
7) Support & Service Levels
7.1 Support tier. Promote includes the Starter support level (knowledge base and email).
7.2 No SLA. No additional uptime or response-time SLA is provided beyond what is stated in the Master Terms.
8) Data, Marketing & Reporting
8.1 Metrics. Wellnessta may provide basic metrics (e.g., views, clicks, redemptions) for your deals.
8.2 Aggregated data. We may use and share aggregated and anonymized data to improve the platform and for market insights.
8.3 Marketing use. You grant Wellnessta a non-exclusive, royalty-free license to use your name, logo, and approved content to showcase your deals on the platform and in promotional materials.
9) Changes, Suspension & Termination
9.1 Feature changes. Wellnessta may modify, replace, or discontinue Promote features with reasonable notice where practicable.
9.2 Material change. If a change materially reduces Promote’s core functionality, you may elect not to renew at the next term; no refunds for the current term.
9.3 For cause. We may suspend or terminate Promote for fraud, abuse, legal risk, non-payment, or breach—without refund.
10) Order of Precedence & General
10.1 Precedence. If there is any conflict, this Supplement controls over the Vendor or Business Partner Terms of Use for the limited subject matter of Promote; otherwise, the Master Terms govern.
10.2 Governing law & disputes. As set out in the Vendor Terms.
10.3 Notices. Communications may be provided in-app, by email to your registered address, or as otherwise stated in the Vendor Terms.
